오늘은 주식회사 및 유한회사의 상업등기 진행 시 절차와 관련 예규를 알려드립니다.
상업등기란?
민법상의 회사에 관한 등기를 상업등기라 하며 민법상의 비영리법인에 관한 등기를 법인등기라 합니다.
상업등기는 상법의 규정에 의하여 법정사항을 기재할 목적으로 상업등기부에 등기하는 것을 말합니다.
상업등기부에는 상호, 미성년자, 법정대리인, 지배인, 합명회사, 합자회사, 주식회사, 유한회사 및
외국회사에 관한 것 등 9가지 종류의 등기부가 있습니다.
등기는 당사자의 신청에 의하여 하는 것이 원칙이며,
등기소에서 등기사무를 취급하는 자는 지방법원판사 또는 서기관이다.
등기사항의 등기를 게을리하면 여러 가지의 불이익을 당할 수 있습니다.
1). 상업등기규칙
제1조 (목적)
이 규칙은 「상업등기법」(이하 “법”이라 한다)에서 위임한 사항과 그 시행에 필요한 사항을 규정함을 목적으로 한다.
제2조 (등기기록 등에 사용할 문자 등)
등기를 하거나 신청서, 그 밖의 등기에 관한 서면(「전자서명법」 제2조의 전자문서를 포함한다)을 작성할 때에는 한글과 아라비아숫자를 사용하여야 한다. 다만 대법원예규로 정하는 바에 따라 한글 또는 한글과 아라비아숫자로 기록한 다음 괄호 안에 로마자, 한자, 아라비아숫자 그리고 부호를 병기할 수 있다.

2). 상업 등기 사무의 양식
제1조 (목적)
이 예규는 상업등기규칙(이하 “규칙”이라 한다) 제178조 규정에 의하여 상업등기법(이하 “법”이라 한다) 및 규칙의 시행에 필요한 문서의 양식을 정함으로써 상업등기사무의 통일성과 효율성을 도모하고자 함을 목적으로 한다.
제2조 (문서의 양식)
법 및 규칙의 시행에 필요한 문서의 양식 목록은 별표와 같이 하고, 그 양식을 별지 제1호 내지 제8호와 같이 한다.

3). 상업등기의 등록세
주식회사가 이사변경, 목적변경 및 본점이전을 하고 구 본점소재지에서 위 사항 등을 일괄하여 등기신청하는 경우 그 등록세는 지방세법 제137조 제1항 제6호의 변경등기 1건(23,000원)으로 납부하면 된다( 지방세법시행령 제100조 제1항 및 제89조 제1항 참조).

4). 전산정보처리조직에 의한 상업등기 등의 신청에 관한 업무처리지침
제1조 (목적)
이 예규는 상업등기 및 법인등기를 전산정보처리조직을 이용하여 전자문서로 하는 신청(이하 ‘전자신청’이라 한다)에 필요한 사항을 규정함을 목적으로 한다.
제2조 (전자신청을 할 수 있는 등기소 등의 지정)
① 전자신청은 법원행정처장이 지정ㆍ고시하는 등기소(이하 “전자신청 등기소”라 한다) 및 등기유형(이하 “전자신청 등기유형”)에 한하여 할 수 있다.
② 전자신청 등기소 및 전자신청 등기유형은 별지 제1호 양식에 의하여 지정하고, 그 지정ㆍ고시는 별지 제2호 양식에 의하여 관보에 게시함으로써 한다.
③ 전자신청 등기소의 장은 그 등기소가 전자신청 등기소로 지정된 사실 및 전자신청 등기유형을 등기소 내 보기 쉬운 장소에 게시하여야 한다.
5). 상업등기 및 법인등기에 있어서의 과태사항 통지에 관한 예규
제1조 (목적)
이 예규는 등기관이 직무를 수행함에 있어서 「상법」, 「민법」, 기타 법령에 의하여 과태료에 처하여야 할 자가 있음을 안 경우 관할 지방법원 또는 지원에 하여야 하는 과태사항 통지에 관하여 규정함을 목적으로 한다.

6). 전산정보처리조직에 의한 상업등기 등 사무처리지침
제1조 (목적)
이 예규는 상업등기, 민법법인등기, 특수법인등기 등에 관한 접수사무와 사건배당 및 등기관의 사건처리방법 등을 규정함으로써 효율적인 업무처리를 도모하고자 함에 있다.
제2조 (접수사무의 처리)
① 등기신청서를 받은 접수담당자는 전산정보처리조직에 등기의 목적, 신청인의 성명 또는 상호(또는 명칭), 접수연월일과 접수번호, 대리인의 성명 및 자격, 등기신청수수료, 등록면허세액을 입력한 후 신청서에 접수번호표를 붙여야 한다.
② 접수담당자가 신청서를 접수하였을 때에는 신청인의 청구에 따라 그 신청서의 접수증을 발급하여야 한다.

7). 상업등기 및 법인등기 신청의 취하에 관한 예규
이 예규는 상업등기 및 법인등기(다음부터 “법인등기 “라 한다) 신청의 취하 방법 및 절차에 관하여
규정함을 목적으로 한다.
제2조 (등기신청의 취하 방법)
① 등기를 신청한 당사자 또는 취하 권한이 있는 대리인은 등기소에 출석하여 별지 양식의 취하서를 제출하는 방법으로 등기신청을 취하할 수 있다.
② 본점 및 지점 소재지에서 등기할 사항에 관하여 지점 소재지에서 한 등기신청의 취하서는 우편으로 제출할 수 있다.
제3조 (전자신청의 취하 방법)
① 「상업등기법」제24조 제1항 제2호 또는 「비송사건절차법」제66조 제1항, 제67조 제1항에 따라
법인등기를 전산정보처리조직을 이용하여 신청한 경우에는 전자문서로 취하하여야 한다.
② 제1항의 취하 내용을 담은 전자문서에는 등기신청 시 송신한 전자증명서 또는
「상업등기규칙」제67조 제4항 제2호 에 따른 인증서로 전자서명을 하여 등기소에 송신하여야 한다.

8). 도로명주소법에 따른 상업등기 등 사무처리지침
1. 목적
이 예규는 도로명주소법에 따른 상업등기 및 법인등기의 절차를 규정함을 목적으로 한다.
2. 적용 대상
이 예규는 등기기록의 본점 또는 주된 사무소의 소재지, 지점 또는 분사무소의 소재지, 지배인 또는 대리인을 둔 장소(이하 ‘본점의 소재지 등’이라 한다) 및 임원, 지배인, 대리인, 상호사용자, 미성년자, 법정대리인, 영업주 등의 주소(이하 ‘임원 등의 주소’라 한다)를 그 적용 대상으로 한다.

Today, I would like to inform you about the procedures and related regulations for commercial registration of joint stock companies and limited companies.
What is commercial registration?
The registration of a company under the Civil Code is called a commercial registration, and the registration of a non-profit corporation under the Civil Code is called a corporate registration.
Commercial registration refers to registration in the Commercial Register for the purpose of recording legal matters in accordance with the provisions of the Commercial Code.
The Commercial Register contains nine types of registrations, including trade names, minors, legal representatives, controlling persons, partnerships, joint stock companies, corporations, limited liability companies, and foreign companies.
There are nine types of registers, including those for foreign companies.
In principle, registration is by application of the parties,
The person in charge of the registry is a district court judge or a clerk.
There are various penalties for neglecting to record items in the register.
1). Commercial Registration Rules
Article 1 (Purpose)
The purpose of these Rules is to stipulate the matters delegated by the Commercial Registration Act (hereinafter referred to as the “Act”) and the matters necessary for its implementation.
Article 2 (Characters to be used in registration, etc.)
When making a registration, application, or other documents related to registration (including electronic documents under Article 2 of the Electronic Signature Act), the Korean alphabet and Arabic numerals shall be used. However, as prescribed by the Supreme Court’s regulations, it is permissible to write in Hangul or Hangul and Arabic numerals, followed by Roman characters, Chinese characters, Arabic numerals, and symbols in brackets.

2). Form of Commercial Registration Office
Article 1 (Purpose)
Pursuant to Article 178 of the Commercial Registration Rules (hereinafter referred to as the “Rules”), this Code aims to promote the uniformity and efficiency of commercial registration affairs by establishing the forms of documents necessary for the implementation of the Commercial Registration Act (hereinafter referred to as the “Act”) and the Rules.
Article 2 (Form of Documents)
The list of forms of documents required for the implementation of the Act and the Rules shall be as shown in the Appendix, and the forms shall be as shown in Appendices 1 through 8.

3). Registration Tax of Commercial Register
If a joint-stock company applies for a change of director, a change of purpose, and a change of head office, and applies for registration of the above at the location of the former head office, the registration tax shall be paid as one change registration (23,000 won) pursuant to Article 137 (1) (6) of the Local Tax Act (see Article 100 (1) and Article 89 (1) of the Enforcement Decree of the Local Tax Act).

4). Business Processing Guidelines for Applications for Commercial Registration by Computerized Information Processing Organizations
Article 1 (Purpose)
The purpose of this preliminary regulation is to prescribe matters necessary for applying for commercial and corporate registration as an electronic document using a computerized information processing organization (hereinafter referred to as “electronic application”).
Article 2 (Designation of registry offices where electronic applications can be made)
(1) Electronic applications may be made only at the registry (hereinafter referred to as the “electronic application registry”) and type of registration (hereinafter referred to as the “electronic application registration type”) designated and notified by the Director of Court Administration.
(2) The electronic application registration center and electronic application registration type shall be designated in the form of Appendix No. 1, and the designation and notification shall be published in the Official Gazette in the form of Appendix No. 2.
The head of the electronic application registry shall post the fact that the registry is designated as an electronic application registry and the type of electronic application registry in an easily visible place in the registry.
5). Preliminary Regulations on Notification of Deficiencies in Commercial and Corporate Registration
Article 1 (Purpose)
The purpose of this preliminary regulation is to provide for the notification of penalties to be made to a competent district court or support organization when a registrar knows that a person is subject to a penalty under the Commercial Code, Civil Code, or other laws in the performance of his or her duties.

6). Guidelines for the Administration of Commercial Registration by Computerized Information Processing Organizations
Article 1 (Purpose)
The purpose of these guidelines is to promote efficient business processing by stipulating reception services for commercial registration, civil law corporation registration, and special corporation registration, as well as case allocation and case handling methods of registration agencies.
Article 2 (Handling of Reception Work)
(1) Upon receipt of an application for registration, the receptionist shall enter the purpose of registration, the applicant’s name or business name (or designation), the date and number of receipt, the name and qualification of the agent, the registration application fee, and the amount of the registration license tax in the computerized information processing organization, and attach an application number to the application.
(2) Upon receipt of the application, the person in charge of receiving the application shall issue a certificate of receipt of the application upon the applicant’s request.

7). Model Rules for Withdrawal of Applications for Commercial and Corporate Registration
This preliminary regulation sets forth the method and procedure for withdrawing an application for commercial registration and corporate registration (hereinafter referred to as “corporate registration”).

Article 2 (Method of Withdrawal of Application for Registration)
(1) The party who applied for registration or the agent authorized to withdraw may withdraw the application for registration by appearing at the registration office and submitting a withdrawal form in the form attached hereto.

If the application for corporate registration is made using a computerized information processing organization, the application shall be withdrawn electronically.

8). Guidelines for the administration of commercial registrations under the Road Name and Address Act
1. PurposeThe purpose of these guidelines is to stipulate the procedures for commercial registration and corporate registration under the Street Name and Address Act.
2.
This preliminary regulation applies to the location of the main or principal office of the registered entity, the location of a branch or branch office, the location of a controller or agent (hereinafter referred to as the “location of the main office, etc.”), and the addresses of officers, controllers, agents, trade names, minors, legal representatives, business owners, etc. (hereinafter referred to as the “addresses of officers, etc.”).
