「증권거래법」제191조의20에 따라 현물출자 대상 주식을 평가할 경우, 「상업등기법」제82조제3호 및 제4호의 서류제출 면제여부 및 이를 대체 할 첨부서면 [KOR / ENG]

1. 주권상장법인 또는 코스닥상장법인인 “갑”이 주권상장법인 또는 코스닥상장법인인 “을”의 주주들로부터 그 보유의 “을”의 주식을 현물로 출자받고 그 대가로 “갑”의 신주를 발행하는 경우 현물출자의 목적물인 “을”의 주식의 가액을 평가함에 있어서「증권거래법」제191조의20 및 동시행령 제84조의7, 제84조의25에 규정된 방법에 의하여 주식의 가격을 평가한 때에는「상업등기법」제82조제3호 및 제4호의 검사인의 조사보고서 또는 감정인의 감정서와 그 재판의 등본 등은 제출할 필요가 없다.
2. 이 경우 주권상장법인 또는 코스닥상장법인임을 증명하는 서면과「증권거래법시행규칙」제36조의13에 규정된 외부평가기관(회계법인 등)이 주식가격을 평가한 서면을 첨부하여야 한다.

1. When “A”, a sovereign listed corporation or a KOSDAQ listed corporation, receives in-kind contribution of shares of “E” from shareholders of “E”, a sovereign listed corporation or a KOSDAQ listed corporation, and issues new shares of “A” in return, the value of the shares of “E” that are the object of the in-kind contribution shall be evaluated in accordance with Article 191(20) of the Securities and Exchange Act and Article 84(7) of the Enforcement Decree, When the value of the shares is evaluated by the method prescribed in Article 84.25 of the Securities Exchange Act and Article 82.3 and 4 of the Commercial Registration Act, the inspection report of the inspector or the appraisal of the appraiser and the certified copy of the trial are not required to be submitted.
2. In this case, a document certifying that the company is a sovereign listed corporation or a KOSDAQ listed corporation and a document certifying that an external appraisal organization (accounting firm, etc.) has appraised the price of the shares as stipulated in Article 36.13 of the Enforcement Rules of the Securities and Exchange Act shall be attached.
